New requirements for Company documentation and Company websites

The European Communities (Companies)(Amendment) Regulations 2007 (SI No. 47 of 2007) were signed by the Minister for Enterprise Trade and Employment on the 6th February 2007 and will be operational from the 1st April 2007.
The Regulations give further effect to Directive 2003/58/EC which amends the First Company Law Directive which has the purpose of making company information more easily available to the public. The main points to note are as follows:
- The current requirement to include the company name, number and registered office address on company notepaper and order forms is extended to include “letters or order forms” whether paper based or in electronic form – which will extend the requirement to corporate emails.
- The requirement will extend to company websites.
- The CRO will be required to make available in electronic form the documents and particulars filed in that office and certified as being authentic copies.
- Any document or filing that is required to be filed in the Irish or English languages may be accompanied by a certified translation into any other official language of the EU.
